Course description

With the term «Corporate Governance», it is meant the system with which companies are managed and monitored. 

Corporate Governance is the basis for organizing and maintaining effective internal control systems. The last fifteen years, huge companies collapsed due to corporate fraud and irregularities. The consequence of failure at the relevant industries was extremely important for those which had direct or indirect interests with them. Organizational failure was due to the ineffectiveness of the Board of Directors and to the ineffective internal control systems.

In the course, codes of corporate governance are presented, along with the effectiveness of internal control systems, as well as the role of internal audit within the corporate governance framework.

Objectives

The main goal is for the student to understand the meaning of modern Corporate Governance, of its infrastructure and of the effective internal control systems, that may prevent corporate fraud and failure.

The presentation of each Code of Corporate Governance aims to the understanding and learning from the student, of the preventive controls and the respective duties and responsibilities of the Boards of Directors.

At the end of the course, student will have clearly understood the meaning of Corporate Governance is the system with which companies are managed and monitored.

  1. Basic principles of Corporate Governance,
  2. Analysis of pros and cons regarding the voluntary application of rules and principles of Corporate Governance,
  3. Codes of Corporate Governance (Cadbury, Greenbury, Turnbull, Combined, Greek Code),
  4. Duties and responsibilities of executive and non executive BoD members,
  5. Risk management and effective internal control systems within the frame of modern Corporate Governance.

Exercises
By the end of the Module you have to submit an assignment essay on a topic that will be presented to you during the study of the Module.
